Terms of Service

These Terms of Service ("Terms") govern your access to and use of QuickQuote ("Service"), operated by QuickQuote ("Company," "we," "us," or "our"). By registering for or using the Service, you agree to these Terms and our Privacy Policy.

If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

QuickQuote is a cloud-based software platform that allows painting contractors and other tradespeople to:

• Create and send painting estimates and contracts to customers.
• Use AI-assisted photo analysis to estimate paintable wall area.
• Manage job schedules, customer records, and workers.
• Receive electronic signatures from customers on estimates and contracts.
• Process subscription payments for platform access.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• You must be at least 18 years old to use the Service.
• One person or legal entity may not maintain more than one free account.
• You are responsible for all activity that occurs under your account.

4a. Paid Subscriptions

Some features of the Service require a paid subscription. Subscription fees are charged in advance on a monthly or annual basis. All fees are in US Dollars and are non-refundable except as stated in Section 4c.

4b. Free Trial

We may offer a free trial period. At the end of the trial, your account will be limited unless you subscribe to a paid plan. We reserve the right to modify or terminate free trials at any time.

4c. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for unused portions of a billing period, except where required by law.

4d. Payment Processing

Payments are processed by Stripe. By providing payment information, you agree to Stripe's terms of service. We do not store your full payment card information.

4e. Price Changes

We will give at least 30 days' notice before changing subscription prices. Continued use after the new price takes effect constitutes acceptance.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulation.
• Misrepresent your identity or affiliation when using the Service.
• Upload content that is fraudulent, deceptive, harmful, or violates third-party rights.
• Attempt to reverse-engineer, decompile, or create derivative works from the Service.
• Use automated tools (bots, scrapers) to access or extract data from the Service without written permission.
• Share your account credentials with others (except authorized workers added through the worker feature).
• Interfere with or disrupt the integrity or performance of the Service.
• Use the AI photo analysis feature for any purpose other than legitimate painting estimation.

You retain ownership of all content you submit to the Service, including customer data, estimates, photos, and notes ("Your Content").

By submitting Your Content, you grant us a limited, non-exclusive license to store, process, and transmit Your Content solely to provide the Service to you. We do not claim ownership of Your Content.

You are solely responsible for the accuracy of estimates, contracts, and representations made to your customers through the Service. QuickQuote is a tool — estimates are not guaranteed to be accurate for any specific job.

When you use the Service to manage your customers' personal information (names, emails, phones, addresses), you act as the data controller under applicable privacy law. You represent that:

• You have a lawful basis to collect and process your customers' personal information.
• You will comply with all applicable privacy laws in your jurisdiction when using our platform to store and communicate customer data.
• Estimates, contracts, and communications sent through the platform accurately reflect your business relationship with your customers.

The Service includes an electronic signature feature that allows customers to sign estimates and contracts digitally. You acknowledge that:

• Electronic signatures collected through QuickQuote may constitute legally binding signatures under the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and similar laws.
• You are responsible for ensuring your use of electronic signatures complies with applicable law.
• We store a record of signatures (as image data and timestamp) in your account. You are responsible for retaining your own records.
• We make no warranty regarding the legal enforceability of any specific contract signed through the platform.

The AI photo analysis feature uses machine learning to estimate paintable wall area from photos. You acknowledge that:

• AI estimates are approximations and may not be accurate. Always verify estimates before submitting to customers.
• Photos submitted for analysis are processed by Anthropic's AI services. See our Privacy Policy for details.
• We are not liable for any loss arising from reliance on AI-generated estimates.
• AI scan usage is subject to the limits of your subscription plan.

The Service, including its design, software, trademarks, and content (excluding Your Content), is owned by QuickQuote and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

Feedback you provide about the Service may be used by us to improve the Service without obligation to you.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy of any estimate generated by the platform.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUICKQUOTE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless QuickQuote and its affiliates from any claims, damages, or expenses (including attorneys' fees) arising from: (a) your use of the Service; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

Either party may terminate your account at any time. We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service ends. You may request export of your data within 30 days of termination. After that period, we may delete your data in accordance with our data retention policy.

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any dispute arising from these Terms will be resolved in the state or federal courts located in Illinois, and you consent to personal jurisdiction there.

Before filing any formal legal claim, you agree to attempt to resolve disputes informally by contacting us at info@quickquoted.com.

We may update these Terms from time to time. We will notify registered users of material changes by email at least 30 days before the change takes effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
